TECHNOMIC ACCEPTABLE USE POLICY

This Acceptable Use Policy (the “Policy”) applies to a client’s use of any survey invitation content, email copy, templates, links, or related materials that Technomic, Inc., an Informa company (“Technomic”), makes available in connection with its services (collectively, the “Survey Content”).
This Policy is incorporated into, and forms part of, the agreement under which the client receives the applicable services. By using any Survey Content, the client agrees to comply with this Policy.
1. Scope
The client is solely responsible for:
(a) its recipient lists and contact information;
(b) its use of the Survey Content;
(c) the content of any communication the client sends using or in connection with the Survey Content, except to the extent Technomic supplied that content without modification; and
(d) compliance with applicable law in connection with those communications.
This Policy governs the client’s use of the Survey Content. Technomic’s collection and processing of information through any survey platform it operates are governed by the applicable privacy notice.
2. Prohibited Conduct
The client must not use the Survey Content in connection with any communication that:
(a) violates any applicable law, regulation, or regulatory guidance relating to electronic communications, privacy, data protection, consumer protection, unfair competition, or deceptive trade practices;
(b) contains false, misleading, or deceptive sender identification, routing information, reply-to information, header information, or subject lines;
(c) is sent without any consent, notice, or other lawful basis required under applicable law;
(d) is sent to any recipient list that is purchased, rented, scraped, harvested, unlawfully obtained, or otherwise used in violation of applicable law or third-party rights;
(e) fails to include any notice, disclosure, unsubscribe mechanism, opt-out mechanism, or suppression functionality required by applicable law;
(f) misrepresents the identity of the sender or the role of Technomic in the communication or underlying survey;
(g) contains unlawful, fraudulent, defamatory, threatening, abusive, obscene, or otherwise objectionable material; or
(h) is reasonably likely to result in excessive spam complaints, invalid delivery rates, abuse complaints, or other indicia of unlawful or abusive sending practices.
3. Sending Practices
In using the Survey Content, the client must use commercially reasonable efforts to follow generally accepted industry practices for lawful business communications, including practices designed to:
(a) use accurate sender identification;
(b) use truthful and non-misleading subject lines and message content;
(c) honor unsubscribe, opt-out, suppression, and similar requests within the time required by applicable law;
(d) maintain appropriate suppression records; and
(e) reduce phishing risk, spoofing, spam complaints, and other abusive or deceptive messaging practices.
4. Recipient Lists
The client may use the Survey Content only in connection with recipient lists that the client lawfully maintains and is legally permitted to use for the applicable outreach.
The client must not use the Survey Content with recipient lists that the client knows, or reasonably should know:
(a) contain inaccurate, outdated, or invalid contact information;
(b) were obtained or are being used in violation of applicable law;
(c) are likely to generate unlawful outreach or abusive complaint levels; or
(d) are inconsistent with any permissions, notices, or restrictions applicable to the relevant recipients.
5. Technomic Name and Materials
Except as expressly permitted by Technomic in writing or in the Survey Content, the client must not use Technomic’s or its affiliates’ names, trademarks, logos, service marks, or other brand features in any manner that suggests sponsorship, endorsement, partnership, or affiliation beyond the client’s authorized use of the Survey Content.
The client must not remove, alter, or obscure any proprietary notice, attribution, disclaimer, or branding included in the Survey Content unless Technomic has approved the change in writing.
6. Protection of Services and Systems
The client must not use the Survey Content or any related link, platform, or service made available by Technomic:
(a) to interfere with, disrupt, damage, or obtain unauthorized access to any system, network, device, account, or data;
(b) to transmit malware, malicious code, or other harmful material;
(c) to test, probe, scan, or attempt to circumvent the security or integrity of any system or service without authorization; or
(d) in any manner that could reasonably be expected to impair the security, integrity, availability, or reputation of Technomic’s services, systems, or business.
7. Compliance and Enforcement
Technomic may monitor compliance with this Policy through complaint handling, delivery and bounce data, abuse reporting, or other reasonable means.
If Technomic reasonably believes that the client has violated this Policy, Technomic may suspend or terminate the client’s right to use the Survey Content and may take any other reasonable protective action permitted under the parties’ agreement or applicable law.
8. Policy Updates
Technomic may update this Policy from time to time by posting a revised version at the applicable URL or by otherwise making the updated Policy available.
Unless the parties agree otherwise in writing, any material revision to this Policy will apply only prospectively after posting or other notice.
